Welcome to Vyspa Softphone. These Terms and Conditions ("Terms") govern your use of the Vyspa Softphone mobile application (the "App") and related services provided by Vyspa Limited ("we", "us", "our", or "Vyspa").
By downloading, installing, accessing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, you must not download, install, access, or use the App.

2. Eligibility
2.1 Age Requirements
You must be at least 18 years of age to use this App. By using the App, you represent and warrant that you are at least 18 years old.
2.2 Authorised Use
- You represent that you have authority to bind that organisation to these Terms
- These Terms apply to both you and the organisation
- Your organisation is responsible for all use of the App under its account
2.3 Geographic Restrictions
The App may not be available in all countries or regions. You are responsible for ensuring your use of the App complies with all applicable local laws and regulations.
3. Description of Service
3.1 What is Vyspa Softphone?
Vyspa Softphone is a Voice over Internet Protocol (VoIP) application that enables users to:
- Make and receive voice calls over the Internet
- Send and receive text messages (SMS) where supported
- Access voicemail and call recording features
- Manage call settings and configurations
- Integrate with existing telephony infrastructure
3.2 Service Components
- Mobile application for iOS and Android devices
- Cloud-based or on-premise telephony infrastructure
- Session Initiation Protocol (SIP) connectivity
- Push notification services
- Customer support
3.3 Service Modifications
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.
4. Account Registration and Security
4.1 Account Creation
To use the App, you must have an account provisioned by:
- Your organisation's administrator, or
- Vyspa Limited directly
4.2 Account Credentials
- Maintaining the confidentiality of your SIP credentials, username, and password
- All activities that occur under your account
- Notifying us immediately of any unauthorised use or security breach
4.3 Prohibited Account Practices
You agree NOT to:
- Share your account credentials with others
- Use another person's account without authorisation
- Create multiple accounts for abuse or fraud
- Attempt to bypass authentication or security measures
5. Acceptable Use Policy
5.1 Permitted Use
You may use the App only for lawful purposes and in accordance with these Terms.
5.2 Prohibited Activities
Illegal Activities:
- Engage in unlawful conduct
- Transmit content that violates law or regulation
- Facilitate fraud, money laundering, or terrorist financing
Harmful Content:
- Transmit threatening, harassing, abusive, or hateful content
- Send spam, unsolicited messages, or malicious code
- Distribute malware or harmful software
Network Abuse:
- Interfere with or disrupt the Service
- Attempt unauthorised access
- Use the Service for denial-of-service attacks
- Excessively consume bandwidth or resources
Privacy Violations:
- Record calls without consent where prohibited
- Harass or invade privacy
- Impersonate any person or entity
Commercial Misuse:
- Resell or redistribute without authorisation
- Use for telemarketing without compliance
- Operate a call centre without proper licensing
5.3 Emergency Services Disclaimer
IMPORTANT: The Vyspa Softphone App may NOT support emergency calling (999, 112, 911).
- Do NOT rely on this App for emergency communications
- Use a traditional landline or mobile phone
- Emergency features may not work without Internet
- Location information may not be transmitted
6. Fees and Payment
6.1 Service Fees
Fees are determined by your organisation's agreement or selected pricing plan.
6.2 Billing
- Billed monthly or annually in advance
- Unused portions are non-refundable
- 30 days' notice for fee changes
6.3 Payment Terms
- Payment due upon invoice
- Late interest: 8% per annum above Bank of England base rate
- Service may be suspended for non-payment

12. Limitation of Liability
12.1 Exclusion of Consequential Damages
TO THE FULLEST EXTENT PERMITTED BY LAW, VYSPA SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
12.2 Cap on Liability
£100 (one hundred British pounds) or the total fees paid in the 12 months preceding the claim, whichever is greater.

15.3 Jurisdiction
The courts of England and Wales shall have exclusive jurisdiction.
19. Acceptance
By downloading, installing, or using the Vyspa Softphone App, you acknowledge that you have read and agree to these Terms.
